  1. Acceptable Use Policy (AUP)
  2. 1. BACKGROUND:
  3. Users of the online voice services provided by Vivox, Inc. ("Vivox") (the
  4. "Service"), through the act of utilizing the Service, agree to adhere to this
  5. Acceptable Use Policy (the "Policy"). Vivox reserves the right to immediately
  6. terminate a user's access to the Service if the user engages in any of the
  7. activities prohibited by this Policy or uses the Service contrary to this
  8. Policy. Each user is responsible for all activities conducted under its
  9. account. The user is also responsible for adhering to any policy set forth by
  10. any other service provider accessed through the Service; Vivox, and its
  11. suppliers and providers, assume no responsibility or liability for a user's
  12. failure to comply with the Policy. The user acknowledges that Vivox may have
  13. access to information about or provided by the user, including diagnostic
  14. information sent automatically after a problem or error, and agrees to such
  15. access and use.
  16. 2. PROHIBITED USES AND ACTIVITIES:
  17. Users shall not provide inaccurate or misleading information to Vivox or use
  18. the Service to:
  19. (i) access any other person's computer or computer system, software, or data
  20. without their knowledge and consent; or breach the security of another
  21. user; or attempt to circumvent the user authentication or security of any
  22. host, network, system, or account, which includes, but is not limited to,
  23. accessing data not intended for the user, logging into or making use of a
  24. server or account the user is not expressly authorized to access, or
  25. probing the security of other hosts, networks, or accounts; or use
  26. automated means (such as robots and spiders) to obtain information from
  27. Vivox's website or, though it, from other websites;
  28. (ii) interfere with computer networking or telecommunications service to any
  29. user, host or network, including, without limitation, denial of service
  30. attacks, flooding of a network, overloading a service, improper seizing
  31. and abuse of operator privileges and attempts to "crash" a host;
  32. (iii) violate the rules, regulations, or policies applicable to any network,
  33. server, computer database, or service that accessed by the user;
  34. (iv) transmit, re-transmit, or store any content or to engage in any activity
  35. that infringes the intellectual property rights or privacy rights of
  36. Vivox or any individual, group or entity, including but not limited to
  37. any rights protected by any copyright, patent, trademark, trade secret,
  38. trade dress, right of privacy, right of publicity, moral rights or other
  39. intellectual property right now known or later recognized by statute,
  40. judicial decision or regulation; (v) host, post, transmit, or re-transmit
  41. any content or material that is threatening, harassing, obscene,
  42. indecent, pornographic, hateful, malicious, racist, defamatory, libelous,
  43. treasonous, excessively violent or promotes the use of violence, or
  44. provides instruction, information or assistance in causing or carrying
  45. out violence against any government, organization, group or individual,
  46. or provides guidance, information or assistance with respect to causing
  47. damage or security breaches to or Vivox's network or to the network of
  48. any other service provider;
  49. (vi) commit an act that constitutes a criminal offense, gives rise to civil
  50. liability, or otherwise violates any applicable local, state, federal or
  51. international law, or (vii) encourage conduct that would constitute a
  52. criminal offense, give rise to civil liability, or otherwise violate any
  53. applicable local, state, federal or international law.
  54. 3. SECURITY:
  55. In all cases, the user is solely responsible for the security of any device or
  56. application it chooses to connect to the Service, including any data stored on
  57. or communications passed.
  58. 4. TRADEMARKS AND COPYRIGHTS.
  59. "Vivox," "Powered by Vivox" and similar marks are the property of Vivox. All
  60. other names, graphics, logos, marks and trade names used in connection with
  61. this Service, are the property of their owners and suppliers and may not be
  62. used without permission for any purpose. The copyright in the Vivox website and
  63. Service and all related materials are owned by Vivox or its suppliers unless
  64. otherwise stated.
  65. 5. DISCLAIMER OF WARRANTIES.
  66. THE SERVICE IS PROVIDED "AS IS" AND "WITH ALL FAULTS," AND PROVIDER AND VIVOX
  67. HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT
  68. LIMITATION (I) WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE
  69. AND NON-INFRINGEMENT, AND (II) ANY WARRANTIES CONCERNING THE SECURITY,
  70. RELIABILITY OR PERFORMANCE OF THE SERVICE.
  71. Certain states prohibit the disclaimer of warranties in certain cases, so the
  72. above may not apply to all users in all instances.
  73. THE DOWNLOADING OR SUBMISSION OF ANY MATERIALS IS DONE AT THE USER'S OWN RISK,
  74. AND THE USER IS SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE TO ANY CONTENT,
  75. IMAGE, COMPUTER SYSTEM OR DATA THAT MAY RESULT FROM USING THE SERVICE.
  76. 6. EXCLUSION OF DAMAGES.
  77. TO THE FULLEST EXTENT ALLOWED BY LAW, VIVOX SHALL NOT BE LIABLE FOR ANY
  78. INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING INCIDENTAL, SPECIAL, EXEMPLARY AND
  79. PUNITIVE DAMAGES, RESULTING FROM THE USE OR PROVISION OF THE SERVICE, EVEN IF
  80. THE POSSIBILITY OF SUCH DAMAGES IS KNOWN.
  81. Certain states prohibit the limitation of liability in certain cases, so the
  82. above may not apply to the user in all instances.
  83. 7. ENFORCEMENT OF THIS POLICY:
  84. Vivox does not routinely monitors the activity of Service accounts for
  85. violation of this Policy. Vivox reserves the right at any time to monitor
  86. usage, transmissions, and content from time to time to operate the Service; to
  87. identify violations of this Policy; and/or to protect the network, the Service
  88. and/or other users. If the Service is used in a way that Vivox, in their sole
  89. discretion, believe violate this Policy, it may take any responsive actions
  90. they deem appropriate, including, but are not limited to, the immediate
  91. suspension or termination of all or any portion of the Service. Vivox will have
  92. no liability for any of these responsive actions. These actions are not
  93. exclusive remedies and Vivox may take any other legal or technical action
  94. deemed appropriate. The user expressly authorizes Vivox to cooperate with (i)
  95. law enforcement authorities in the investigation of suspected legal violations,
  96. and (ii) any system administrators at other Internet service providers or other
  97. network or computing facilities in order to enforce this Policy. This
  98. cooperation may include making available personally identifiable information
  99. about users to law enforcement or system administrators. The failure to enforce
  100. this Policy, for whatever reason or for no reason, shall not be construed as a
  101. waiver of any right to do so at any time. The user agrees that if any portion
  102. of this Policy is held invalid or unenforceable, such portion will be construed
  103. consistent with applicable law as nearly as possible, and the remaining
  104. portions will remain in full force and effect. The user agrees to indemnify,
  105. defend and hold harmless Vivox and its affiliates, suppliers, providers, and
  106. agents against all claims and expenses (including reasonable attorney fees)
  107. resulting from users engaging in any of the prohibited activities listed in
  108. this Policy or resulting from users violating the Policy or any other posted
  109. policy related to the Service. The foregoing user indemnification will survive
  110. any termination of the user's agreements with Vivox .
  111. 8. ARBITRATION.
  112. Except for the right of a party to seek equitable relief, any disputes arising
  113. under or related to this Agreement ("Dispute"), excluding any Dispute relating
  114. to the validity or infringement of any intellectual property right, will be
  115. resolved by negotiation, mediation and, if necessary, arbitration, as follows.
  116. The party raising such Dispute will promptly advise the other party in writing
  117. describing in reasonable detail the nature of such Dispute ("Notice of
  118. Dispute"). The parties will negotiate in good faith to resolve the Dispute, but
  119. if they have not done so within thirty (30) days, the parties will submit the
  120. Dispute to a mutually agreed mediation organization. If the parties are unable
  121. to resolve the Dispute within sixty (60) days after delivery of the Notice of
  122. Dispute, then the Dispute will be resolved by a single arbitrator in a final
  123. and binding arbitration under the then current procedural rules of the American
  124. Arbitration Association. All proceedings will be conducted in the English
  125. language in Boston, Massachusetts. The arbitrator will have no power to modify
  126. the terms or conditions of this Agreement, or to award punitive damages. Any
  127. award rendered in such arbitration may be enforced by either party in any Court
  128. of competent jurisdiction.
  129. 9. GENERAL TERMS.
  130. This Agreement is governed by the laws of the Commonwealth of Massachusetts. No
  131. agency, partnership, joint venture, employment or franchise relationship is
  132. intended or created by this Agreement. This AUP constitute the entire agreement
  133. between the parties concerning the use of the Service. If any provision of this
  134. Agreement is found to be unenforceable, it shall be deemed modified to the
  135. least extent needed to make the provision enforceable; the remaining terms of
  136. this Agreement shall remain in full force and effect. Vivox reserves the right
  137. to disclose any information about any user as required by a court order or as
  138. recommended by counsel in the context of any action by any government entity or
  139. other third party.
  140. 10. CHANGES TO THIS POLICY. Vivox may revise its Acceptable Use Policy from
  141. time to time without prior notice. Any changes will be presented in the latest
  142. version at the Vivox web site. All revised copies of the Policy are effective
  143. immediately upon a user's first use of the Service after the change has been
  144. posted.
